IncorpFlow Copilot / GPT App Terms of Use

These Terms of Use apply to the IncorpFlow Copilot / IncorpFlow GPT App for ChatGPT, operated by Quotech Pte. Ltd. / Quotechs / Quotech Singapore (“Quotechs”, “we”, “us” or “our”) in connection with the IncorpFlow B2B hosted SaaS platform.
By using the IncorpFlow Copilot / GPT App, you agree to these Terms of Use. If you are using the app on behalf of a company, corporate service provider, tenant, or other organization, you represent that you are authorized to do so.
1. Authorized Use Only
The IncorpFlow Copilot / GPT App is provided only for authorized users of corporate service provider tenants using IncorpFlow.
You must not use the app unless you are properly authorized by the relevant customer, tenant, or organization.
You must not use the app for personal, public consumer, unauthorized, unlawful, or unrelated purposes.
2. Relationship with Signed Customer Agreements
These Terms of Use are general public website and app-listing terms for the IncorpFlow Copilot / GPT App.
If a customer, tenant, or authorized user uses IncorpFlow or the IncorpFlow Copilot / GPT App under a signed subscription agreement, order form, master services agreement, data processing agreement, data processing terms, side letter, add-on agreement, or other written agreement with Quotechs, that signed agreement governs that customer’s and tenant’s use of IncorpFlow and the IncorpFlow Copilot / GPT App.
These Terms of Use do not amend, replace, expand, reduce, waive, or override any signed agreement. If there is any inconsistency between these Terms of Use and the applicable signed agreement, the signed agreement prevails for that customer’s and tenant’s use.
3. Tenant Data Access
You may only access, request, view, retrieve, summarize, export, create, update, send, submit, or otherwise process tenant data that you are authorized to access.
You must not:
- attempt to access another tenant’s data;
- bypass, probe, or test access controls without authorization;
- request data for companies, clients, users, or tenants outside your permission scope;
- extract, export, disclose, or reuse data without proper authority;
- submit false, misleading, unlawful, or unauthorized instructions;
- use the app in a manner that breaches confidentiality duties, professional obligations, customer agreements, applicable law, or internal policies.
Quotechs may treat attempted unauthorized access, misuse, suspicious activity, or circumvention of security controls as a serious violation of these Terms of Use.
4. Workflow Assistance Only
The IncorpFlow Copilot / GPT App may assist with IncorpFlow-related workflows, including company-file metadata lookup, selected company-file review where authorized, service-ticket workflows, due-date review, SOA or collection summaries, support-ticket preparation, eSign status checks, tenant support, product navigation, and other operational product functions.
The app provides workflow assistance only.
It does not provide legal, tax, accounting, audit, corporate secretarial, compliance, regulatory, financial, investment, employment, immigration, privacy, data-protection, AI-governance, or other professional advice.
No output from the app should be treated as a substitute for professional review, qualified advice, statutory judgment, regulatory interpretation, or customer-specific compliance assessment.
5. User and Customer Responsibility
The customer, tenant, and authorized user remain fully responsible for:
- reviewing all outputs before use;
- checking accuracy, completeness, relevance, and context;
- confirming that the correct company, client, file, due date, ticket, recipient, or workflow has been selected;
- ensuring filings, submissions, registers, records, notices, invoices, emails, and client communications are correct;
- obtaining any required approvals;
- applying professional judgment;
- complying with applicable laws, regulations, professional standards, customer contracts, and internal policies.
Quotechs is not responsible for user decisions, professional conclusions, filings, client communications, or business actions taken in reliance on app-generated output without appropriate human review.
6. Create, Send, Submit, Export, and Write Actions
Certain IncorpFlow Copilot / GPT App functions may support create, update, send, submit, export, ticket, email, notification, or other write-action workflows.
Before confirming any such action, you are responsible for reviewing:
- the action type;
- the company, client, entity, tenant, or record involved;
- the recipient or destination;
- the content and attachments, if any;
- the data scope;
- the timing and due date;
- the commercial, legal, compliance, and client-service consequences.
A confirmation step is a safety measure. It does not transfer responsibility from the user or customer to Quotechs.
Quotechs may refuse, delay, restrict, log, or require additional verification for any action where reasonably necessary for security, abuse prevention, service integrity, auditability, compliance, or platform protection.
7. Prohibited Inputs
You must not submit the following into ChatGPT prompts or IncorpFlow Copilot / GPT App tool prompts unless Quotechs has expressly provided a designated secure workflow for that purpose:
- passwords;
- OTPs or one-time passcodes;
- API keys, secret keys, access tokens, private keys, or administrator credentials;
- payment card numbers or full payment card data;
- protected health information;
- government identification documents or identification numbers;
- unnecessary sensitive personal data;
- data you are not authorized to disclose or process.
You are responsible for ensuring that prompts and instructions do not include unnecessary confidential, sensitive, regulated, or third-party data.
8. OpenAI / ChatGPT and Third-Party Platform Dependency
The IncorpFlow Copilot / GPT App operates through ChatGPT and may depend on OpenAI services, GPT functionality, actions, APIs, connectors, models, moderation systems, account settings, workspace settings, app review, usage limits, availability, and related platform services.
Quotechs does not control OpenAI’s platform, model behavior, moderation decisions, data controls, account settings, product availability, pricing, rate limits, policy changes, or service interruptions.
Your use of ChatGPT, OpenAI services, or any related third-party platform may also be subject to separate third-party terms, policies, workspace settings, and data controls.
Quotechs is not responsible for loss, delay, failed output, refusal, blocked response, degraded performance, unavailability, retention consequence, account action, policy change, or platform limitation caused by OpenAI / ChatGPT or another third-party service, except to the extent expressly stated in a signed customer agreement.
9. Output Limitations and Human Review
The IncorpFlow Copilot / GPT App may use large language model technology. Outputs may be inaccurate, incomplete, outdated, inconsistent, unsupported, over-confident, unsuitable, affected by incomplete context, affected by prompt wording, affected by source-data quality, affected by platform limitations, or otherwise unreliable.
You must verify outputs against source documents, IncorpFlow records, official records, applicable law, professional standards, and human judgment before relying on them.
Human review is mandatory before any filing, submission, client communication, document execution, accounting treatment, tax treatment, corporate-secretarial action, legal position, compliance decision, or other material business use.
10. Security, Monitoring, and Auditability
Quotechs may monitor, log, review, restrict, or audit app activity for security, support, service operation, troubleshooting, compliance, abuse prevention, and enforcement purposes.
This may include tool requests, tool responses, user identifiers, tenant identifiers, timestamps, security metadata, and related operational logs.
You must not interfere with logging, security controls, rate limits, captcha checks, authorization checks, tenant-scoping controls, or confirmation steps.
11. Suspension, Limitation, and Revocation
Quotechs may suspend, limit, block, disable, disconnect, or revoke access to the IncorpFlow Copilot / GPT App, in whole or in part, where Quotechs reasonably considers it necessary or appropriate due to:
- security concerns;
- suspected unauthorized access;
- misuse, abuse, or excessive usage;
- violation of these Terms of Use;
- violation of a signed customer agreement;
- legal, regulatory, privacy, data-protection, confidentiality, or compliance concerns;
- risk to tenant data, platform integrity, service availability, or third-party accounts;
- customer request or account termination;
- product maintenance, modification, replacement, or discontinuation;
- OpenAI / ChatGPT policy, technical, commercial, or platform-related risk.
Quotechs is not liable for loss arising from reasonable suspension, restriction, refusal, or revocation of access taken for security, compliance, risk-management, or service-integrity reasons, except to the extent expressly provided in a signed customer agreement.
12. Availability and Changes
The IncorpFlow Copilot / GPT App may be modified, updated, limited, suspended, replaced, or discontinued from time to time.
Features may vary depending on tenant configuration, user permissions, product plan, security settings, ChatGPT availability, OpenAI platform behavior, third-party services, and the applicable customer agreement.
Quotechs does not guarantee that any specific GPT App feature, workflow, output, integration, connector, or action will remain available at all times unless expressly agreed in a signed customer agreement.
13. No Additional Warranties
To the maximum extent permitted by applicable law, and except as expressly stated in a signed customer agreement, the IncorpFlow Copilot / GPT App is provided on an “as is” and “as available” basis.
Quotechs does not provide any additional warranties, representations, guarantees, service levels, professional advice commitments, accuracy guarantees, availability guarantees, or fitness-for-purpose commitments through these public Terms of Use.
Any warranties, service commitments, support obligations, limitations of liability, indemnities, data processing obligations, or commercial remedies are governed only by the applicable signed customer agreement, if any.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Quotechs will not be liable under these public Terms of Use for indirect, incidental, consequential, special, exemplary, punitive, loss-of-profit, loss-of-revenue, loss-of-data, loss-of-goodwill, or business-interruption damages arising from use of, inability to use, or reliance on the IncorpFlow Copilot / GPT App.
For customers with a signed agreement, the applicable liability terms, exclusions, caps, remedies, and risk allocation in that signed agreement govern that customer’s and tenant’s use of IncorpFlow and the IncorpFlow Copilot / GPT App.
Nothing in these Terms of Use excludes liability that cannot be excluded under applicable law.
15. Changes to these Terms
Quotechs may update these Terms of Use from time to time to reflect product changes, operational requirements, legal requirements, OpenAI / ChatGPT platform changes, or customer-facing disclosure needs.
The “Last updated” date above indicates when these Terms of Use was last revised.
